These terms govern your use of the PadKit mobile application (the "App"). By downloading, accessing or using the App, you agree to these terms. If you do not agree, do not use the App.
If you use PadKit for a business or other organisation, you confirm that you have authority to accept these terms on its behalf. In that case, "you" includes that business or organisation.
1. What PadKit does
PadKit lets you create reusable document templates ("Pads"), enter business and customer information, capture signatures, generate PDFs, and share documents using services available on your device. Some plans also allow records to be exported as CSV file format for backup and managing outside of the app.
PadKit is a document-creation tool. It does not provide legal, tax, accounting or other professional advice, and it does not determine whether a document or signature is legally valid or suitable for a particular purpose. You are responsible for obtaining professional advice where appropriate.
2. Eligibility and acceptable use
You must be legally able to enter into a binding agreement to use the App. You must not use PadKit:
- for unlawful, fraudulent, deceptive or abusive purposes;
- to create, store or share content that infringes another person's rights;
- to obtain or use a signature without the signer's knowledge, consent and authority;
- to introduce malicious code, interfere with the App, bypass plan limits or attempt to reverse engineer the App except where the law expressly permits it; or
- in a way that could harm us, other users or third parties.
You are responsible for complying with all laws, professional rules, record- keeping duties and tax requirements that apply to your business and documents.
3. Your content and responsibilities
"Your Content" means information and materials you enter into or create with PadKit, including business details, logos, Pads, records, customer information, signatures and generated PDFs. You retain ownership of Your Content.
You are responsible for:
- ensuring that Your Content is accurate, lawful and does not infringe anyone's intellectual-property, privacy or other rights;
- having an appropriate lawful basis and any necessary notices or consents for personal information you enter into PadKit;
- confirming that every person whose signature is captured understands what they are signing and has authority to sign;
- checking every document before it is issued, relied upon or shared; and
- keeping any copies, records or backups your business or the law requires.
We do not review, verify, approve or retain copies of the documents you create.
4. Local storage, exports and sharing
PadKit is local-first. Business details, logos, Pads, records and signatures are stored on your device rather than in a PadKit account or cloud-sync service. Uninstalling the App, clearing its storage, losing or damaging the device, or a device failure may permanently delete this information. PadKit does not promise cloud backup, recovery or synchronisation between devices.
You decide when and where to share a PDF or download CSV files through your device's file and sharing features. You are responsible for checking exported files, choosing recipients carefully and protecting files after they leave the App. Third-party apps and services you use to store or share a file operate under their own terms and privacy policies.
5. Plans and subscriptions
PadKit may offer Free, Plus and Pro plans. The features and usage limits shown in the App at the time of purchase form part of these terms. Current plans may limit the number of records created in a monthly period, or access to features such as record CSV export.
Paid plans are recurring subscriptions purchased through the app store shown at checkout. The store displays the applicable price, billing period, taxes and any trial terms before you confirm a purchase. Your subscription renews automatically unless you cancel it through your app-store account before the renewal deadline set by that store. Deleting PadKit does not cancel a subscription.
Payment, renewal, cancellation and refunds are processed by the relevant app store and are also subject to its terms. You can manage or cancel a subscription in your app-store account and can use PadKit's restore-purchases function where supported. Except where the law or app-store rules require otherwise, charges already paid are non-refundable.
We may change plan features, limits or prices from time to time. Changes to an existing subscription price will be handled with any notice or consent required by the app store and applicable law. If we materially reduce a paid plan during its current billing period, any mandatory consumer remedies remain available.
6. Licence and intellectual property
Subject to these terms and the applicable app-store rules, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the App on devices you own or control for your own personal or internal business purposes.
We and our licensors own the App, including its software, design, branding and other materials, but not Your Content. No rights are granted except those expressly stated in these terms.
If you send us feedback, you permit us to use it without restriction or payment to you, provided we do not identify you publicly without permission.
7. Availability, changes and updates
We may update, improve, suspend or discontinue all or part of PadKit. We do not guarantee that the App will always be available, error-free, compatible with every device or app, or that a generated document will meet every legal, commercial or technical requirement. You should install updates promptly and export important documents before making changes that could affect local data.
8. Third-party services
PadKit relies on third-party services for app distribution and subscription management, including Google Play and RevenueCat. Optional crash reporting may be provided through Sentry. Your use of those services may be governed by their own terms and privacy policies. We are not responsible for third-party services to the extent permitted by law.

9. Disclaimer
To the fullest extent permitted by law, PadKit is provided "as is" and "as available". We disclaim implied warranties and conditions, including fitness for a particular purpose, satisfactory quality, accuracy and non-infringement. We do not warrant that a Pad, record, PDF or signature will be enforceable, accepted by a customer, authority or court, or compliant with requirements that apply to your business.
Nothing in these terms excludes warranties, guarantees or other rights that cannot lawfully be excluded, including mandatory consumer rights.
10. Limitation of liability
Nothing in these terms limits or excludes liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that sentence, to the fullest extent permitted by law:
- we are not liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, goodwill or anticipated savings, or loss, corruption or disclosure of data;
- we are not liable for loss caused by inaccurate content, unauthorised signatures, failure to retain or back up local data, or third-party sharing services; and
- our total liability arising out of or relating to the App or these terms will not exceed the greater of the amount you paid for PadKit in the 12 months before the event giving rise to the claim and £100.
11. Suspension and termination
You may stop using PadKit at any time. You remain responsible for cancelling any subscription through your app-store account and exporting any information you wish to keep before uninstalling the App.
We may suspend or end your right to use PadKit if you materially or repeatedly breach these terms, if required by law, or if the App is discontinued. Where reasonable and lawful, we will provide notice. Sections intended by their nature to survive termination will remain in effect, including sections concerning ownership, disclaimers and liability.
12. Changes to these terms
We may update these terms to reflect changes to PadKit, our business or the law. We will provide notice of material changes in the App, through the app-store listing or by another reasonable method. The updated terms will state their effective date. If you do not agree to an update, you must stop using PadKit and cancel any subscription.
13. Governing law and disputes
These terms and any dispute or claim arising out of or in connection with them or PadKit are governed by the laws of England and Wales.
If you use PadKit as a consumer, you will also benefit from any mandatory protections provided by the laws of the country in which you live. Nothing in these terms affects those rights.
If you are a consumer resident in England or Wales, the courts of England and Wales will have jurisdiction over any dispute. If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of the part of the United Kingdom in which you live.
If you use PadKit for business purposes, the courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these terms or PadKit.

14. General
If any provision of these terms is found unenforceable, the remaining provisions will continue in effect. A delay in enforcing these terms is not a waiver. You may not transfer your rights under these terms without our consent; we may transfer ours as part of a merger, reorganisation, sale or other lawful business transfer. These terms, together with any terms shown at purchase and the mandatory rules of the applicable app store, form the agreement between you and us concerning PadKit.
